Is there a software with which I can resize a high resolution video(x264 etc.) to a smaller resolution video without the loss of any video/audio quality... ? I just want to rescale it...

I would have thought all or most of the encoders would do it.
Give AVIdemux a try, or perhaps StaxRip.

Dude, in AVIdemux, where can I resize the video res. and copy the video/audio simultaneously? I can't resize the video unless I convert the video settings:(

Are you talking about physically changing the file, for example resizing 1920*1080 to 1280*720,
or are you talking about just changing the way its displayed by altering it's aspect ratio?

If it's the former, the video has to be re-encoded. In AVidemux open the file,
set the container (lower left) to the same as the existing file .
Leave "Audio" at copy. Change Video (on the left) from "copy" to "mpeg-4 AVC (X264)"
Select Filters and double click Mplayer resize. Set the parameters as you want them and OK out.
You may want to check the Video / configure settings, but the x264 defaults are pretty good.

Hit the save icon, (top left) and give it a file name and suffix (eg. myfile.mkv)

You cannot resize without conversion. You can change the aspect ratio/display resolution without re-encoding, but you cannot physically modify the pixel resolution without re-encoding, you have to do as dave suggested.
