I have ACDSEE 5.0, which I use to browse my picture files, and it can convert to icon files.

For the best quality mp3s use EAC (exact audio copy) to rip your audio CDs and LAME to encode them. Follow this guide:

its not free, but I'm pretty sure it has a 30 day trial period which you could use to convert the files. try download.com
