Video could already be DivX. Audio could already be mp3 or AC3. In such a case all you need to do is remux.

Chances are that the audio is vorbis, so that would need re-encoding.
mencoder -ovc copy -oac mp3lame input.ogm -o output.avi

Yep mencoder is a program. It is part of mplayer; the encoding part.
It can run under windows (not just XP) and linux (also OSX, etc.).

mencoder is by no means the only way to convert ogm's. I just like it because you can remux the video and re-encode the audio easily in one go. Come to think of it though you could probably use ffmpeg to remux both the audio and video. Although when I muxed vorbis to AVI with ffmpeg, ffplay was the only thing that could play it back.

As to where to download you want windows or linux?

For linux, I would suggest that you do a cvs check out and compile.

For windows you can find my latest builds at: http://www.aziendeassociate.it/cd.asp?dir=/mplayer
Alterative builds by sherpya at: http://oss.netfarm.it/mplayer-win32.php
