What does ac3acm have to do with subtitles?
You should have a .srt file.
Open the video in VirtualDub, select filters, add, subtitle, browse for the subs file, and then re-encode or frameserve.

yes. I do that. But the problem is that in the TMPGEnc does'n start the sound. And when I lunch virtual dub apear a message there "warning: nothing to output bframe decoder log". I think that because the sound is AC3 type. And in TMPGEnc doesn't apear nothing in the "audio surce" when I want to put the subtitles into movie.

Tmpgenc cannot do AC3 (no matter what).
Rip the audio to .wav in virtualdubmod first, then use that .wav as the audio source.

Yes, that's exactly what the acm does. It allows you to rip the AC3 from a file (demux) or alternatively convert it to .wav for TMPGEnc, using virtualdub(mod).

TMPGEnc also uses ACM decompressors though.

As for the bframe lag bit. Simply due to the fact that your AVI uses bframes that are not packed. It has nothing to do with AC3 or subs, simply a limitation of the VfW framework (1 frame in, 1 frame out).

If you are wanting to hard encode subs using TMPGEnc, you could set FFDShow to decode XviD, enable subtitle support, crank the dshow priority in TMPGEnc and then just encode.
