What's the logic behind free upgrades for online purchasers only?

As a retail customer, I was somewhat surprised to read that free upgrades will be available to online purchasers only. Why is it that retail customers don't qualify, and what might the financial ramifications be of this long term? In other words, will the cost of future upgrades be sufficient to warrent buying another copy online, and soon since even this policy ends this month.

Online purchases cuts out the middleman, and keeps cost down to a minimum.

What better way to entise customers away from the store, than with a "special offer".
