How or where do I get this codec??

It comes with windows.
I believe it's also included in various codec packs, such as Nimo and maybe a couple of others.
Why do you want it?
Basically, it sucks.
Nero's mpeg-4, or even Div3 (another version of mpeg-4) are better.
