I am running XP, and when I shut down my comp, it goes right through the shutdown procedure, turns off for about 5-10 seconds, then restarts and reloads Windows. It does this most of the time, but not always.
I have disabled all auto-on settings in the BIOS, and have no sheduled tasks set to "wake-up" to perform task - also I run regular virus, spyware & ad-ware checks, and have come cross nothing sinister.
Is this some Windows setting problem? Any ideas as to why this may be happening????

Try running System File Checker and see if that helps the problem.

Put you Windows CD in the drive. Close down the Auto-run screen that comes up.

Go to Start > Run. Type "sfc /scannow" (without the quotes). Go get a cup of coffee and a snack as it takes awhile. When it has completed, there will be no messages as to what it did or didn't do. The window just closes.

Post back and let us know if this helps.

Thanks Dolphin, will try that if it keeps doing it - I just turned off the "Automatically restart on sysetm failure" option in MyComputer-Properties-Advanced-Startup&Recovery, and that seems to have solved the problem (at least for now) - but thanks anyway, will try that method if still unresolved

What you turned off isn't fixing the problem. That is for system crashes so you can record the error messages. The best thing to do is like I suggested. Let's try and fix the problem.

I tried the system file check, but it doesn't seem to work.. I put in the Windows cd, typed the command, and a small black command box popped up, but only for a split second, not even long enough to read, then disappeared. I tried the same thing logged on as administrator and same result.

Try in safe mode. Is the Windows CD the same as you have on you system (ie SP2)?
