AVI2DIVX Audio/video out of sync

well I have a big AVI uncompressed with 31796 FRAMES but virtualdub properties tell me it has only 31146 KEYFRAMES.
When I convert it into divx with Drdivx it gives me a file with only 31146 FRAMES instead of 31796 causing a async with audio file (audio has a good value of 31796 samples).
What can i do ? Is it possible to make an AVI with 31796 KEYFRAMES (done with Adobe Premiere)enabling a good compression ?
Or to resolve this async with Vdub or anything ? Thanks to help me !
