Need a HTPC to handle 1080p, 3d, USB3, quietly

Hi I need some advice on HTPC's I want a suggestion that can do the following...

Play 1080p Blu Ray 3d rips over LAN
Play 1080p HD over HDMI
Internet browsing quickly
capable of having torrents downloading in background at all times
USB3

It also needs to be quiet. Not necessarily silent, but I don't really want a hairdryer in my bedroom all night!

Ive researched a lot, but not convinced that the products Ive found tick all the boxes. they were the Shuttle XS35GS v3, and the Zotac ZBox ID41


Did I mention I don't really want to spend more than £300? I already have an HDD but no RAM
