Type in the run command window "msconfig" Look in the services(click the check box "hide microsoft services" in this tab) and start-up tabs. Uncheck anything that you don't want running in the background. This should speed up shut down as well as start up times.

I wouldn't suggest you delete anything from there. If you want you could uninstall any programs you don't use anymore, and then do a disk cleanup + disk de-fragmentation in that order. That would clear some stuff up, and also speed up your computer a bit.

The reason your PC is slow at shutting down, might be:
A) To much background tasks.
B) To much Warez.
C) Viruses.

Previously I installed XP, then using the upgrade disc I installed XP2, then upgrade again to XP3. i find out that they backs up all Windows or System32 files, makes my PC really slow to shot and boot.

Clean what you don't really need to keep, and defreg your PC to free up your spaces, then you will be fine.
