i cn't seem to install the vfapi plug in into TMPGEnc. the instrucyions said unzip to same folder as TMPGEnc.exe is stored then run "TMPEnc vfp_ install.bat". it won't let me . what's the procedure step by step

Just doubleclick that file and it should run the .bat in command prompt window and that's it.

i've done that and it comes up in dos as being finished but everytime i go to TMPGEnc, choose options/TMPGEnc is registered to Vpafi an error message comes up saying "TMPGEnc vfp does not exist in the same directoryas TMPGEnc exe." then it tells me where i can download it. so i am assuming that it isn't installed. am i right.

Weird, you're the first one I've ever heard to have probs installing it.

Try reinstalling both, TMPGEnc and VFAPI to blank directory.
