Hi
I want to buy RAM for my core 2 duo e6400. My plan is to overclock it... so my question is which do you recommend? :

1 Gb Corsair xms2 6400, 800 mhz, 5-5-5-12

OR

2 Gb Corsair xms2 5400, 675 mhz, 4-4-4-12

The first one is 120$ more expensive.

P4 R 2.8 GH, two processors
512 Mb RAM
160 GB HDD
256 MB ATI

I would go with the first one. The faster the bus speed with your RAM the less of a bottleneck you're going to have.
