I need some help choosing a processor. prefferably no more than 350 usd, it'll only be used for converting video files to DivX and then burning them. it wont even have a internet connection lol. I know the converting videos takes alot of cpu power so i'v been looking at pentium d's but i'm alittle curious whats a good cpu to go with? i'd prefer going with a amd proc. i'm a complete idoit when it comes to converting video, i can normally choose a cpu for anything else easly..
like for example which is better?
amd athlon x2 4800+ (2.4ghz)

the AMD is better than any pentium, but the new conroe processors from intel are currently the best performing CPUs on the market.
EDIT: from newegg you can get a Conroe E6600 for just $10 over budget

This is best CPU by far at the price you want to pay, but getting the max out of it will need a good board. $349.99 right on budget.
