@700MB's you are going to loose quality. Not sure if there are any apps that automate the conversion of DVD menus either. ALSO WHAT'S WITH THE CAPSLOCK?? You could convert to AVC instead of DivX. AVC is more efficient and mp4 also allows for menus, subs, chapters, etc.

AVC = MPEG-4 Part 10, DivX (the video codec) is MPEG-4 Part 2. AVC is more effient, but there is no way to make it smaller without losing quality. The only way to shrink is to use a lossy compressor and that means a quality loss. It is possible to get smaller size with acceptable or even transparent quality.

As for apps, you could try MeGUI. Should allow you to encode anamorphically (first step in maintaining quality is not to resize) with x264. For adding menus you would need to use something else. Should be able to do the chapters and subtitles for you. Exactly what DivX format features were you planning on using anyway?

Problem with AVC/mp4 is you lose compatibility. DivX (if encoded at a correct profile) will decode on any DivX certified player. With Ultra certified players you get chapters and menus. DivX HT specs means a 1:1 PAR though so instead of encoding at say 720x576 you would have to encode at 720x400.
