computer sometimes passes POST sometimes not

The pc in question has a Gigabyte 8VM800M775 Socket 775 Motherboard and an Intel Celeron 351 3.20Ghz 533FSB and the RAM is Kingston ValueRAM 2 x 256MB DDR 400. Now when I turn on the pc about 66% of the time it will pass POST. Out of the times it will pass post it will freeze shortly after (the windows screen comes up that asks if you want to start in safe mode, keep last known working configuration, or start normally with the 30 sec countdown timer. If I hit any of the selections it will freeze). Now this pc is relatively new (less than 3 months) and when it was working it would freeze after being on for approx. 12 hours.
I am wondering what is wrong, I have checked the RAM in another pc and it works fine. I am unable to check the processor or MOBO because this is the only intel based machine I have. I am thinking that it is the MOBO but i am not 100% sure and to not want to purchase a new one if there is nothing wrong with it.
Maybe someone can shed some light on my predicament. Any help is very much appreciated.

if pc pass post it means ram count is ok,so is the harddrive check and cd-roms.
if you been usig the same hardware for the past 3 months the incompatibility issue is rule out. so it looks like a windows erro it can happen by a virus,due to a program intall or uninstall or sotfware incompatibility if the corrupted files are in windows system and system32 folders win wont boot no matter what.
so 2 things you can use the window repair console which is in your windows cd and it can be run only from windos install screen in dos. or take out that harddrive put it slave in your other machine and make a backup and format it and install windows again or before thar you can scan it for viruses..

i would do that but it freezes before i get that far. I mean i have tried linux live disks and they freeze as well.
The overheating problem... if it overheated before would it have adverse effects now? and if so whot should i replace if need be. And this all started after I installed a pci wireless netork adapter. but i cant see how that is the problem... FOR EXAMPLE if i try and hit DEL to enter the BIOS screen it freezes (sometimes). sometimes it freezes before the bios option even appears on screen which made me think it was a MOBO issue.
But if the system has frozen because of overheating in the past, what could be ruined now (as in parts total because i know overheating in general is not a good thing).

hi overheating in the past wont cause any of those problems overheating can cause a pc to freeze when running heavy aplications and things like that.
look you didn´t mention before the wifi pci card it can be incompatible that can happen specially if it was working fine before!

dont buy anything for now unless you wanna keep santa busy!!!
**overheating is not a good thing remember always to clean the dust from your cpu fan..

take out all of your hardware (all cards, cd rom, dvd roms, floppy disks, ram and even your hard drive) and put em back in one at a time until something works
you may want to download a bios update for your motherboard from an other computer and flash it. try a different video card or even a pci card if you can

I have tried booting the pc with only the essentials (MOBO, CPU, RAM, DVD-Rom using Ububtu 6.10) and it freezes after the initial configuration screen. I have cleaned all the parts albeit there was little dust but that had no effect as well.

I will look into that. I have tried putting it back together multiple times to no avail. I also have a video card I can try will see if that changes anything.

try clearing the cmos as will put back to defaults.
