I think the problem I have is unique.

First of all:

1) I am using a Picazzo DMB-TH digital tuner box (http://www.picazzo.hk) that has the ability to play 720p/1020p and AC3/DTS DivX/Xvid/H264/Quicktime/WMV/AVI/TS/MPEG videos either from its built-in Compact Flash, USB, or from across the network from a Linux or Windows share.
2) The Picazzo does not support the MKV format but all the media clips I have are in the .MKV format and they all come with either AC3 or DTS 5/6-ch audio.
3) Using RiverPast Video Cleaner, I have converted the MKV format to AVI using the DivX 6.8.x codec and remuxed the AC3/DTS audio streams using VirtualDubMod. On a QuadCore system, all these steps take less than 1 hour for 720p video or a little bit more than 2 hours for 1080p - very acceptable thanks to DivX's support for QuadCore processors.

DivX + AC3/DTS runs on the Picazzo HOWEVER I later realized Picazzo has barely enough power to play them in 720p/1080p resolutions - the audio and video are slightly out of sync and worsens as the clip progresses.

The same video and audio work very smoothly when I use MPEG2 + AC3/DTS. But MPEG2 is HUGE. These video normally takes over 8GB each.

Because of this, I need:

1) to find a codec that Picazzo supports and uses less processing power than DivX/XviD
2) Preserve the AC3/DTS audio stream
3) And just as important...find a program that converts around 2 hours on a 8Gb QuadCore system.

Sorry. Quite a mouthful. I have exhausted all my options and in the last week or so tested several dozen conversion programs and read through many guides I find here and on the Internet.

Your expert advices are very much appreciated.

Never mind. I found a better workaround.

Use tsMuxer alone to convert MKV to TS. It only only takes 5-10 minutes and it preserves all features that were from the original video. It also solved the Jump-To-Time and the audio/video out of sync problems with the Picazzo.

Cheers,
