Okay, I searched on here for hours reading about this problem, but never found an answer that helped.

Here is what I've got, an AVI file

File : 697 MB (697 MB), duration: 1:42:29, type: AVI, 1 audio stream(s), quality: 43 %
Video : 606 MB, 827 Kbps, 23.976 fps, 576*240 (2.21:1), XVID = XVID Mpeg-4, Supported
Audio : 90 MB, 124 Kbps, 44100 Hz, 2 channels, 0x55 = Lame MP3, Supported

I'm using TMPGEnc v2.524.63.181, with tooLame, Lame MP3 Encoder, and SSRC. After creating the DVD compiant MPEG2 file this is what I get with no audio, and yes the system (video+audio) box is checked.

File : 3.94 GB (0.0 B), duration: 0:00:00, type: MPG, 0 audio stream(s), quality: 73 %
Video : 3.94 GB, 5054 Kbps, 29.970 fps, 720*480 (4:3), MPG2 = MPEG 2 (SVCD/DVD), Supported

Please help this is driving me crazy!!!

Don't know if this will help, but, when I first used TMPGEnc 2.5 and had no sound in my MPEG 2's, I found that TMPGEnc doesn't encode Audio well. The solution was to convert the Audio to Wav with Goldwave(shareware) or Virtualdub(freeware)and enter it separately. Guides on this at Videohelp. You could also try raising Directshow priority to first in TMPGEnc (options>environmental settings>vfapi plugin) by rightclicking on it.

I was experiencing problems with TMPGEnc reporting incorrect length and no sound at all of all AVI files. Moving directshow to the top of the VFAPI plugins list solved both of these problems.
