Need help with an MPEG 1 File

Hi all :)
Im having trouble converting an MPEG 1 File.
This is the dimensions of the file :
MPEG1
23.976
352x240
4:3
Letterboxed
CBR MPEG 1 Layer 2 Audio

Well I demuxed the audio in VirtualDubMod then I cropped the letterbox off and resized to 720x436 an expanded letterbox to 720x480
and frameserved to MainConcept with settings of DVD NTSC 23.976 with 3:2 pulldown.

Well when I got the end results and burned to a DVD it looks like CRAP - looks almost out of focus - nothing like the original. Plus the audio is out of sync.

I hope I have provided enough information - any help would be greatly appreciated :)
