HELP ME MOD MY PSP PLEASE!!

Alright..I've been at this whole PSP modification thing for hours..its 3 in the morning and i need sleep..i just hate leaving the job UNDONE (gonna have to though)
I currently have:
- FAT PSP w/ v3.95 OFW
- 2 batteries (one MAX POWER 3.6v 1800mAh and the other the STOCK FAT - PSP battery 3.6v 1800mAh - as well)
**i have the MAX POWER as my backup in case this hardmodding gets me nowhere**
- 2GB MEM STICK PRO DUO
And i want:
- FAT PSP w/ v3.xx CFW (i just want CUSTOM FIRMWARE so i may finally play some downloaded games and change up the look on my PSP)
- PANDORA battery
- MAGIC MEM STICK
My problem is that i have run into ALL SORTS OF DIFFERENT GUIDES on "HOW TO MAKE A PANDORA BATTERY" or "HOW TO MAKE A MAGIC MEM CARD" and have ended with less than satisfactory results. I have diligently worked at my PSP for all these hours and yet have nothing to show for it..
I've tried the stupid pin thing (HARDMOD i believe its called) and did all it asked from me..i checked it in several web pages and all seems right..the black screen turns on..AS PREDICTED..
I've tried making my battery into a PANDORA BATTERY through hacks (softmod i believe) and have had nothing but errors plaguing the screen of my PSP..saying that the GAME COULD NOT BE STARTED???!!!
I just recently followed one of the most helpful GUIDES on how to make the MAGIC MEM CARD..and yet when i clicked on PANDORA BATTERY OPERATOR..it once again said that the GAME COULD NOT BE STARTED?!!!
I've been at this for hours..i might be a noob at THIS..but im far from stupid..i've googled every last question i could ask..and have dbl n trpl checked my work..going through the process several times..
i have absolutely nothing..n i know u guys are my only hope..please tell me if there is anything OBVIOUSLY wrong from everything i have stated (above) doing..
an answer ASAP would be great..ask me whatever...i'll tell you every program i've used..file i've unzipped n installed..i'll tell u whatever i must in order to get this done..
having a CFW would unlock marvelous things to keep myself busy on my PSP..I just need to figure how to do it..n if i can, since i have a v3.95 OFW (even though i've seen in several forums that it IS possible - just that im losing hope)

BTW..
what i used last was something by the file name UNIVER_FILE.RAR
when i followed the guide..i ended with the following in my MEM STICK:
1.5 KERNEL ADDON FOR 3.9 v2
1.5 KERNEL ADDON FOR 4.01
M33 3.71 UPDATE VER 1.5
1.5 KERNEL ADDON FOR 3.8
MUX UPDATE 2.0 BY KSBO
PANDORA'S BATTERY CREATOR
CORRUPTED DATA
OS PANDORA BATTERY TOOL .5
PANDORA INSTALLER FOR 3.XX
DESPERTAR DEL CEMENTERIO
(IN THAT ORDER)

and it would be nice if someone could let me know why i have all of those files in the MEM..and what each of them does.

Listen mate, not to be brash or whatever, but you don't need all that sh*t on your memory stick. Google PsP grader and download the lite version and that, to my knowledge, installs 3.80 M33-5. After you've done that, why not update to my FW, 4.01 ZZK?

Thank you very much..the only thing that is stopping me from seeing whether this will work or not is that the RESOURCES werent downloaded with the PSP GRADER LITE v001..
I will be looking for them via GOOGLE..but it would be helpful if someone could give me a link leading me to both

whats the difference between your 4.01 ZZK and the 4.01 M33-2??

Well my FW is a request-only FW and the differences between ZZK and M33 are that you can request what you want in your FW (user friendly, hacker, Dev version and alot more) as it is done through MSN. PM me your MSN address and we'll get started
P.S, My FW also improves the sony game drivers.

DAX just decrypted the prx he never sent them to any one
basicly all he did was allow people to decrypt the prx with PSAR then he menipulates PSAR to allow it to install the decrpted prx allong with his own made prx (legeal for him) and then you have cfw
the way you are doing it is getting ready decrypted prx (sony's) and DAX own prx modifying them slightly and then sending them out as your own
they belong to sony because they are Shareware(Freeware) which means that they are free to use and install but illegeal to modify or send the prx file them selfs
open source code is where it is free and legeal to modify and get hold of the source code of the product.
