is it ok if I keep my 360 in the cabinet under my TV?

there are approx. 4 inches of space between the 360 and each of the four walls of the cabinet and the roof. there is 6 in x 4 in (approx) opening in the back of the cabinet. when I play a game I make sure I leave the door of the cabinet wide open.

does it sound like my 360 is an overheating accident waiting to happen? I really don't have any other place to put it.

It is a little risky, but I believe you should be fine. If you play more than two hours at a time though, it may be a good idea to pull it out and sit it on a hard surface out in the open though.

WARNING
Do not move your 360 while it is running, it will most likely destroy the disc inside of it. It's happened to me and many others.

by the way, it doesn't feel that hot in there. the only part that gets warm is the back of the 360

Yeah that's where almost all of the hot air comes out of. That's normal.

If you don't want to move it out all the time or have the cables tied in or something, you could always just get a fan and point it into the cabinet to keep cool air flowing around it and through your 360, and then put the fan away when not playing.
