Carpet is the worst material to put it on, mostly because it fills/blocks the ventilation holes, and sometimes because of static elec. issues w/ carpet.
Vertical is not the best choice either. The 360 has a significantly lower heat temperature when place horizontally. Plus you have a greater chance of scratching your disks when placed vertically.
Just place it somewhere where it can be vented well, meaning nothing is too close on all sides of the 360. I have mine on tempered glass (TV Stand), but materials other than carpet should be fine. And vacuuming around the holes every once in a while will help keep it clean too.

I actually read an article from a Microsoft engineer who said that placing it vertical actually helps keep it slightly cooler vs being horizontal. I would have to see if I can find that again.

About a year ago i took apart a 360 that looked like a sheep was sucked up inside of it.

Really i think it's from being on a shag carpet. He said he ran it vertically. You could tell because the thermal paste on the inside was actually seeping off the processor and onto the board. The thermal paste/pad that ms uses is complete garbage. If it gets hot enough it will start to move if you have it tilted vertically.
As5 doesn't do this though, i've had my console vertical for almost 2 years now and i've taken the box apart to clean it every now and then.
