First off you need to find out if any of those processes are malicious, run the usual spy/adware scans if your not sure what to do follow advice in this link.

i have scheduled scans of adaware se, spybot, and norton 2005 (virus/speed disk,etc)every week. so none of em bad, just want to know which ones i dont need to be runnin, only 256 ram.

I always make a note of anything I install and am always aware of what is running so if something crops up I am unaware of then the scanners are released to quash any nasties that have appeared.
However it all depends on what you have running at startup aswell, as these will remain running.
Click on Run
Type in MSCONFIG
Go into the startup tab and see what proggies are enabled, you can then disable which ones you want and see which ones make a difference.

tried clickin on run, but when i typed msconfig/MSCONFIG said it could not find file msconfig or one of its components. workin on the list, cause cant cut and paste, may take some time.

Bugger me, just read your original post and you state you're using 2000.......
That does not have MSCONFIG available as default......I shall have to go and search my little notebook for some other info for you.
Unless someone could pop in here and open the door......
Here is a link that maybe useful, have a read, if you have a copy of XP (legal) then you can copy it over, otherwise have a look at the hints at the bottom of the page.....
The startup control panel looks like the simpliest to navigate around (a downloadable tweak)
