I want to upgrade my dell dimension 300 motherboard, and I understand that I need a new case, copy of xp, and power supply, but what is the socket of my cpu? it's a intel pentium 4 2.80 GHZ, and is there anything els that I need to do when upgrading?

if cpu has legs on it than is 478 socket cpu. all boards have pci slots but look at getting an agp slot motherboard or pci/e motherboard that fits your cpu as both alot faster than pci.

I have this board and have used it for nearly two years. O/Clocking auto by 10% will give your 2.8 a kick to 3.08 without any ill effects. More then 10% and you are asking for it. My 3.4 is and has been running at 3.74 without any heat issues, mostly because it is a Northwood and not a Prescott.

As ddp mentioned Asus boards are considered to be good boards.

One other thing...Some Dell boards and cases have proprietary plugs for the front end such as USB, Power Button, etc. make sure your case will work with your new board as well.
