MOBO upgrade

I would like to upgrade my mobo so I can use a PCI-express video card and my question is this (and I have researched but no luck) can I get a pci epxress mobo and still use my current processor and memory? I don't want to completely rebuild a system.

You can keep the same CPU and RAM with your mobo providing that the new motherboard is the same socket as the old one (so if you have a socket 754 processor you need to find a PCI express 754 board, same goes for 478, 775 and 939).
The new board also needs to support the type of memory you have, so you ideally need DDR RAM.

If you're using the processor in your sig however (Socket A) You will NOT be able to keep the processor, but you will the RAM (thankfully since it's worth far more than the CPU!)
To be honest your CPU is nothing to write home about, and probably only performs around the P4/A64 2800 level even at that overclock.
Not insulting you at all, but you may wish to consider either changing it, or just buying another AGP video card if you want.

Result then. If you can stretch to it, I'd try and get an Athlon64 3500+. Since you're familiar with overclocking processors by the looks of things, you could get some SERIOUS speed out of one of those. With good cooling and memory you're looking at approaching FX series speeds.
