What is the deal with upconverting??

So I'm interested in buying an upconverting DVD player. An OPPO OPDV971H 1080i HDTV-Ready Divx DVD Player with DVI Output to be exact. I have a Vizio HDTV too.

But what is upconverting? Does it really work? Does it make my DVD output 1080i? Or does it "seem like" 1080i? I wanna catch the fine print.

I got burned when I bought an HDTV when I found out that it only works with HDTV channels (only 12 channels in my area) making my other 130+ channels looking like crap.

Does the upconvert work with divx as well? Cause I have some anime on DVD in .avi format. Since Oppo works like my Phillips DVP642, I can just burn a data DVD and it'll play. I'm wondering if the upconvert will do that as well.

Any help would be appreciated. Thanks.
