Extract the sound from the mpeg file. You can Demux it to MP2 or, bettter, load the MPG (the 'true mpeg' not the 'riff file' , that is the AVSEQ01.dat[vcd] AVSEQ01.mpg [svcd] file) with VirtualDub, set audio__Full processing mode and make File___Save WAV.

Then, make WAV --> AC3 with FFMPEG GUI. Since it has been born to create audio streams for DVD, by default it oversamples the audio 44100 Hz [(S)VCD compliant] --> 48000 Hz [DVD compliant] .

Finally, put that audio in yout outof-sync AVI by loadng it with VirtualDubMod. Do stream___Stream List. Disable the 'bad' stream and Add the one you made how I suggested.
Put Video___Direct Stream Copy and Save (F7) the new AVI.

If you make a new AVI from zero (from the MPG), simply make this 'audio stream change' stuff to the MPG, before compressing it to AVI (and, this time, you'll leave Video at 'full processing mode').

and when converting the saved wav file do i have to convert it to AC3 or i can also convert it to mp3 ?

If you convert to AVI,first you need right codec for that file,eg,DivX or XviD.And some one tell me when use winavi covnert to .avi, you'd better select this below for audio and video codec:
audio:mpeg layer-3
video:xvid mpeg4 codec
good luck :)
