What is a good software to convert mkv files to mpeg4? and keeping the picture quality descent

mkv is just a container format. MPEG-4 is a set of standards. If you mean mp4 then there is a decent chance that the video at least is already MPEG-4 compatible, so you would just need to remux so 100% identical picture quality.
